Terms of Service
Please read these terms carefully before using KnowStage.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Vineyard Reality Technologies LTD("Vineyard Reality", "we", "our", "us"), a company incorporated in Ghana, operating the KnowStage platform ("KnowStage", "Platform", "Service").
By accessing or using KnowStage, creating an account, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookies Policy.
If you are using KnowStage on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use KnowStage.
2. Eligibility
You may use KnowStage only if you:
- Are at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher)
- Have the legal capacity to enter into a binding agreement
- Are not prohibited from using the Service under applicable laws
- Are not a person or entity subject to sanctions by the Government of Ghana or international bodies
Users between 13 and 18 years of age must have a parent or guardian review and agree to these Terms on their behalf.
3. Description of Service
KnowStage is a webinar and event discovery, registration, and hosting platform that allows:
- Attendees to discover, browse, and RSVP for webinars, workshops, and events
- Hosts to create, publish, and manage events, track registrations, and engage with their audience
- Speakers to build speaker profiles, be listed on topic hubs, and be associated with events
- Organisations to manage teams, events, and billing under a shared account (enterprise plans)
KnowStage reserves the right to modify, suspend, or discontinue any feature or the Service as a whole at any time. Where commercially reasonable, we will provide advance notice.
4. Accounts
4.1 Registration
To access most features, you must create an account by providing accurate, complete, and current information. You may register using an email address and password, or via a supported OAuth provider (Google, GitHub, etc.).
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at security@knowstage.com if you suspect unauthorised access.
We are not liable for any loss arising from unauthorised use of your account where you have failed to take reasonable security precautions.
4.3 One Account Per Person
Each individual may maintain only one personal account. Creating multiple accounts to circumvent restrictions, bans, or platform limits is prohibited.
4.4 Account Termination
You may delete your account at any time from Settings → Danger Zone. Upon deletion, your data will be removed subject to our data retention policy.
5. User Content
5.1 Your Content
"User Content" means any information, text, images, event details, bios, recordings, links, and other materials you submit, upload, or publish through KnowStage. You retain full ownership of your User Content.
5.2 Licence to KnowStage
By submitting User Content, you grant Vineyard Reality Technologies LTD a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the KnowStage platform. This licence terminates when you delete the content or close your account, subject to any operational copies.
5.3 Content Responsibility
You are solely responsible for your User Content and represent that:
- You have all necessary rights to post the content
- The content does not infringe any third-party intellectual property rights
- The content does not violate any applicable laws
- The content complies with these Terms
5.4 Prohibited Content
You must not post content that:
- Is false, misleading, or deceptive
- Is defamatory, harassing, abusive, threatening, or discriminatory
- Infringes intellectual property, privacy, or publicity rights
- Contains malware, viruses, or other harmful code
- Promotes illegal activities
- Is obscene, pornographic, or otherwise inappropriate for a professional platform
- Violates any applicable law or regulation in Ghana or the user's jurisdiction
5.5 Content Moderation
We reserve the right (but are not obligated) to review, edit, refuse to publish, or remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful to the platform or its users.
6. Event Hosting Rules
Hosts who use KnowStage to publish and manage events agree to:
- Provide accurate, truthful, and complete event information
- Honour registrations and deliver the event as described
- Communicate promptly with registered attendees regarding any changes or cancellations
- Refund attendees where a paid event is cancelled by the host
- Not charge attendees for events listed as free without prior disclosure
- Comply with all applicable laws, including consumer protection laws in the host's jurisdiction
- Not use KnowStage to harvest contact details for purposes outside the stated event
KnowStage is a technology platform. We are not an event organiser, co-host, or party to agreements between hosts and attendees, and we accept no liability for the content, quality, or delivery of any event.
7. Subscriptions and Payments
7.1 Plans
KnowStage offers free and paid subscription plans. The features available under each plan are described on our Billing page. We reserve the right to modify plan features or pricing with 30 days' notice.
7.2 Billing
Paid plans are billed on a recurring basis (monthly or annually) via Paystack. By subscribing, you authorise Paystack to charge your selected payment method on a recurring basis. All prices are in the currency displayed at checkout and are exclusive of any applicable taxes.
7.3 Free Trials
We may offer free trials from time to time. At the end of a trial period, your account will automatically convert to the paid plan you selected unless you cancel before the trial ends.
7.4 Cancellation
You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for cancellations mid-period, except where required by law.
7.5 Refunds
All fees are non-refundable except: (a) where required by applicable consumer protection law; or (b) at our sole discretion where a billing error has occurred. To request a refund, contact billing@knowstage.com within 14 days of the charge.
7.6 Failed Payments
If a payment fails, we will notify you and attempt to retry the charge. If the payment remains outstanding after reasonable attempts, your account may be downgraded to the free plan and access to paid features may be suspended.
8. Intellectual Property
8.1 KnowStage IP
The KnowStage platform, including its source code, design, logos, trademarks, and all content created by us, is the exclusive property of Vineyard Reality Technologies LTD and is protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, distribute, or create derivative works from our platform or content without our express written permission.
8.2 Feedback
If you submit ideas, suggestions, or feedback about KnowStage ("Feedback"), you grant us a perpetual, irrevocable, royalty-free right to use and incorporate the Feedback into our products without any obligation to you.
8.3 DMCA and Copyright Notices
If you believe content on KnowStage infringes your copyright, please send a notice to legal@knowstage.com including: identification of the copyrighted work, identification of the infringing material, your contact information, and a statement of good faith belief and accuracy.
9. Acceptable Use
You agree not to use KnowStage to:
- Violate any local, national, or international law or regulation
- Engage in unauthorised access to any part of the platform or its infrastructure
- Introduce viruses, malware, or other harmful software
- Conduct denial-of-service attacks or rate-limit circumvention
- Scrape, crawl, or extract data from the platform without our written consent
- Impersonate any person, organisation, or KnowStage itself
- Engage in spam, phishing, or unsolicited communications via the platform
- Exploit, harm, or attempt to exploit minors
- Use the platform for money laundering, fraud, or any financial crime
- Reverse engineer, decompile, or disassemble any part of the platform
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
10. Termination and Suspension
10.1 By You
You may stop using KnowStage at any time. To permanently delete your account, use Settings → Danger Zone.
10.2 By Us
We reserve the right to suspend or terminate your account with or without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or illegal activity, or if your use poses a risk to the platform or other users.
Upon termination, your right to use KnowStage ceases immediately. We will handle your data as described in our Privacy Policy.
10.3 Effect of Termination
Provisions that by their nature should survive termination — including Sections 5 (User Content licence), 8 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), and 13 (Governing Law) — shall survive termination.
11. Disclaimer of Warranties
KnowStage is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The platform will be uninterrupted, timely, secure, or error-free
- Results obtained from the platform will be accurate or reliable
- Any defects or errors will be corrected
- The platform is free from viruses or other harmful components
Your use of KnowStage is at your sole risk. This disclaimer does not affect any statutory rights you may have as a consumer under Ghanaian law.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Vineyard Reality Technologies LTD, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, or similar damages arising out of or in connection with your use of KnowStage, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising under these Terms shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim; or (b) GHS 500.
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence, or any other liability that cannot be excluded under Ghanaian law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Vineyard Reality Technologies LTD and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of KnowStage; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
14.2 Dispute Resolution
In the event of a dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the matter to the courts of Ghana.
14.3 Class Action Waiver
To the extent permitted by law, you waive the right to participate in class action lawsuits or class-wide arbitration against KnowStage.
15. Third-Party Services
KnowStage may integrate with or link to third-party services (e.g., Paystack, Zoom, Google Meet, social platforms). Your use of any third-party service is subject to that service's own terms and privacy policy. We are not responsible for the practices or content of third-party services.
16. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting a prominent notice on the platform. Changes take effect 14 days after notification. Your continued use of KnowStage after that date constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when the most recent changes were made.
17. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and KnowStage regarding the Service and supersede any prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.
Force Majeure: We are not liable for failures or delays in performance resulting from circumstances beyond our reasonable control, including acts of God, war, civil unrest, or internet infrastructure failures.
